Terms of Service

1. The Services

Sky Leads provides physical-therapy clinics and similar healthcare practices with periodic reports identifying new and relocating healthcare providers near a location you choose, compiled from public records (see "Data and accuracy" below). We may add, change, or remove features over time.

2. Accounts and sign-in

Some features require an account. We use passwordless email-link sign-in, so you are responsible for maintaining access to, and the security of, the email address associated with your account. You are responsible for activity that occurs under your account. Notify us promptly at privacy@skyforwarddesign.com if you believe your account has been accessed without authorization.

3. Subscriptions, billing, and cancellation

• Billing. Paid subscriptions are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees (currently $149 per month) plus any taxes.
• Renewal. Subscriptions renew automatically each billing period until cancelled.
• Cancellation. You may cancel at any time through the dashboard or the Stripe billing portal. Cancellation stops future renewals; your access continues through the end of the current billing period.
• Refunds. Except where required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods.
• Price changes. We may change our fees. We will give you advance notice, and changes apply to the next billing period.

4. Acceptable use

When using the Services, you agree not to:

• use the Services in violation of any applicable law or regulation;
• resell, redistribute, sublicense, or publicly post the reports or the data in them, except for your own internal business use;
• scrape, copy, or extract data from the Services by automated means beyond the intended functionality, or attempt to access the Services without authorization;
• interfere with or disrupt the integrity or performance of the Services; or
• use the Services to send unlawful, harassing, or deceptive communications.

5. Your outreach responsibilities

The Services help you identify potential referral sources and may include contact information for healthcare providers drawn from public records. You are solely responsible for how you contact those providers and for complying with all laws that apply to your outreach, including anti-spam, telemarketing, fax, and do-not-call laws (for example, CAN-SPAM, the TCPA, and applicable state laws). Sky Leads does not send outreach on your behalf and does not guarantee that any provider may lawfully be contacted by any particular method.

6. Data and accuracy

Report content is derived from public records published by CMS in the National Plan and Provider Enumeration System (NPPES) and similar sources. We are not affiliated with CMS. While we work to surface timely information, the Services and all data are provided "as is," and we do not warrant that the data is accurate, current, or complete. The Services do not constitute legal, compliance, medical, or professional advice.

7. Intellectual property

The Services, including the software, design, and report formatting (but excluding the underlying public records), are owned by Sky Forward Design and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription.

8. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the fullest extent permitted by law, Sky Forward Design will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Services. Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the Services in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Sky Forward Design and its officers, members, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms, including your outreach to providers.

11. Suspension and termination

We may suspend or terminate your access to the Services if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (such as payment obligations, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, for material changes, provide a more prominent notice. Your continued use of the Services after a change takes effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Maine, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Maine will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services.
